Assignment of Copyright  Exclusive

An assignment of copyright is an agreement where the author of a work transfers all or a portion of his/her rights in the copyright in the work to another party.  This form is designed for the transfer of all of the exclusive rights in the work, meaning that the author, after executing the assignment, will no longer have any rights in and to the copyright of the work or any other rights related to the work.  
   
   According to the S. 90 (3) of the Copyright, Designs and Patents Act (CDPA), 1988, the transfer of exclusive rights is not valid unless the transfer or assignment is in writing and signed by the assignor or its duly assigned agent.  Recording the assignment with the UK Copyright Office is not required to make the assignment valid; however, it will provide you certain legal advantages. Moral rights are not assignable according to s.94 CDPA...

3.  CONTINUING OBLIGATIONS:  Author agrees to reasonably assist Assignee, upon request, in the perfection of the assignment, including the execution and delivery of any additional documents that are appropriate and necessary for perfection.  
4.  BINDING EFFECT: The covenants and conditions contained in this Assignment shall apply to and bind the Parties and their heirs, legal representatives, successors and permitted assigns.

5.  GOVERNING LAW: This Assignment shall be governed by and construed in accordance with the laws of England and Wales.
