Certificate of Independent Legal Advice - General

A Certificate of Independent Legal Advice is document in which a person attests that he or she has consulted with and received independent legal advice from a solicitor on a matter, usually a proposed contract.  The solicitor giving the advice must be independent, meaning that the solicitor is not personally involved in the matter, and the solicitor is not acting for or advising any other party who is involved in the matter.

The purpose of the Certificate is to ensure that a person understands the nature or consequences of the matter or contract, and that he or she is acting voluntarily and not under duress or compulsion.  For example, when a person wants to borrow money or guarantee the debts and obligations of a spouse or family member, the lender may require a Certificate to ensure that the person is aware of the consequences and liabilities of entering into such a contract.  By executing such a Certificate, the person may later be prevented from claiming that he or she did not understand the contract or matter, or the consequences thereof.
